Terms & Conditions

§ 1 — Scope of Application

These General Terms and Conditions ("Terms") govern all contracts between Erik Rohde, Schillerstraße 8, 78166 Donaueschingen, Germany ("Provider") and clients ("Client") for the provision of consulting, leadership coaching, training, mentoring, keynote speaking, and workshop facilitation services.

These Terms apply to business clients (B2B) and private consumers (B2C) alike, with specific provisions for consumers noted where applicable. Deviating terms of the Client are not recognized unless explicitly agreed in writing.

§ 2 — Services Offered

The Provider offers the following services:

Business Advisory — Consulting | Business Building | Transformation — LTC Method: Strategy Development, Innovation, Management & Leadership Development
Keynote Speaking — For events, leadership summits, and corporate events
Workshops & Seminars — Half-day or full-day, in-house or at defined locations
Maxwell Leadership Programs — Certified Executive Program Leader (Maxwell Leadership Certified Team)
Leadership Training & Coaching — Structured online 1:1 sessions (Foundations 125 €/session · Mentorship 260 €/session · Executive 360 €/session)

§ 3 — Conclusion of Contract

Submitting a contact form or enquiry does not constitute a binding contract. A contract is only concluded upon explicit written confirmation by Erik Rohde (email confirmation counts as written form).

Offers made by the Provider are non-binding and subject to change until confirmed in writing by the Client.

§ 4 — Right of Withdrawal for Consumers (§ 312d BGB (Widerrufsrecht / Right of Withdrawal))

If you are a private consumer (not purchasing in a professional or commercial capacity), you have the right to withdraw from this contract within 14 days without giving any reason, in accordance with § 312d BGB (Widerrufsrecht / Right of Withdrawal) (German Civil Code) and EU Directive 2011/83/EU.

The withdrawal period begins on the date the contract is concluded (i.e. the date of written confirmation). To exercise your right of withdrawal, you must inform us by a clear statement (e.g. by email to connect@lead-transformation.org).

Exceptions: The right of withdrawal expires early if the service has been fully performed with the consumer's explicit consent before the end of the withdrawal period, and the consumer was informed that the right of withdrawal would be lost upon full performance.

§ 5 — Prices and Payment

All prices are quoted in Euros (€). Erik Rohde operates as a freelance consulting engineer and solo entrepreneur (freier, beratender Ingenieur und Solo Entrepreneur) — VAT is applied as applicable per applicable law.

For Leadership Training programs: a deposit of 50% of the total program value is due upon confirmation. The remaining 50% is due within 7 days after the final session.

§ 6 — Delivery of Services

Services are provided online via video call (primary), or in person upon separate agreement. Session scheduling is confirmed individually via email. The Provider reserves the right to reschedule with reasonable notice.

§ 7 — Limitation of Liability

The Provider is liable for damages caused by intent or gross negligence. Liability for slight negligence is excluded to the extent permitted by law, except in cases involving injury to life, body, or health.

The Provider does not guarantee specific business outcomes or results from consulting, coaching, or training engagements. Success depends in part on the Client's own commitment and implementation.

§ 8 — Confidentiality

Both parties agree to treat all information exchanged during the engagement as confidential and not to disclose it to third parties without prior written consent, unless required by law.

§ 9 — Intellectual Property

All materials, frameworks, tools, and content provided by the Provider remain the intellectual property of Erik Rohde / Lead Transformation Core unless otherwise agreed in writing. Clients may use materials for their own internal purposes only and may not reproduce, distribute, or resell them.

§ 10 — Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For B2B contracts, the place of jurisdiction is Donaueschingen, Germany. For consumer contracts, mandatory statutory consumer protection provisions of the consumer's country of residence apply.

§ 11 — Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
